New regulations on INGO’s operation in Vietnam applying 1 November 2022

Decree 58/2022/ND-CP dated 31 August 2022 (Decree 58, 2022) replaces Decree 12/2012/ND-CP dated 1 March 2012 regulating registration and operation management of International Non-governmental Organisations (INGOs) in Vietnam.

According Decree 58, 2022, INGOs in Vietnam have following rights:

  • Enjoy benefits, tax incentives, import goods and work permits;
  • Receive fund in either foreign currency or Vietnamese dong through the designated bank account;
  • Transfer funds in foreign currency abroad serving development assistance and humanitarian aid activities;
  • Open and use a payment account in either Vietnam Dong or a foreign currency at a commercial bank or branch of a foreign bank licensed to operate in Vietnam for the purpose of implementing programs, projects, and non-commercial activities development assistance and humanitarian aid projects.

INGOs are allowed to operate in the area and according to the fields specified in the Registration Certificate. INGOs are also allowed to set up one representative office (RO) in one of three locations: Hanoi, Da Nang and Ho Chi Minh City.

The operation registration certificate shall be valid for not more than 3 years from the date of issuance. RO registration certificate is valid for not more than 5 years from the date of issue. The term of the registration certificate does not exceed the time limit for operation registration of the INGO according to the law of the place of establishment.
